Terms of Use and Subscription Agreement
Last updated: 2 November 2026 · Version 1.4 · Courtesy translation — the Arabic text prevails
These terms (the "Agreement") govern your use of the Daqiq AI platform (daqiqai.com) and its services (the "Service") provided by Digital Optimization Company (DOAI), Commercial Registration No. 1010958459, Riyadh, Kingdom of Saudi Arabia ("Daqiq AI" or "we"). By creating an account or using the Service you agree to this Agreement on behalf of the organisation you represent (the "Customer" or "you") and confirm that you are authorised to bind it.
If you do not agree to these terms, do not use the Service. The Privacy Policy and the Refund Policy form an integral part of this Agreement.
1. The Service
Daqiq AI is a cloud platform for accounts-payable automation: receiving supplier invoices and their documents, extracting their data with AI, verifying the QR code and duplicates, matching them to purchase orders and receipts, routing them through approval chains, recording payments, and reporting. We develop the Service continuously and may add, change or discontinue features, with reasonable notice where the change is material.
The Service is a tool that assists your finance team; it does not provide accounting, tax or legal advice, and it is not an e-invoicing system certified by the Zakat, Tax and Customs Authority. Your obligations towards the Authority and other bodies remain yours.
2. Account and eligibility
- The Service is for organisations and business use only, and for persons aged 18 or over.
- The Service is offered to organisations in the Kingdom of Saudi Arabia, and a new organisation account is created from inside the Kingdom; members invited into a subscribed organisation may use it from outside the Kingdom.
- You must provide accurate, up-to-date details (organisation name, commercial registration, VAT number, billing details) and keep them updated.
- You are responsible for the confidentiality of your credentials and for everything that happens in your organisation's account, including the actions, roles and permissions of the members you invite. Notify us immediately of any unauthorised use.
- One account per organisation; a member may belong to more than one organisation when invited.
3. Subscription, trial and plans
- Free trial: 14 days per organisation, once, with full features and within a reasonable invoice limit. When it ends without a subscription the account switches to read-only (data visible, no processing services) until you subscribe.
- Plans: each plan sets the monthly invoices, users and features as published on the pricing page at the time of subscription. When the monthly invoice limit is reached new invoices are kept and are not read until an upgrade or the start of the next month; they are never deleted and nothing extra is charged for them.
- Upgrades take effect immediately with a pro-rated charge; downgrades take effect from the next billing cycle.
- We may change prices or plan limits with at least 30 days' notice, effective from the next renewal; contractually fixed prices are honoured for the agreed period.
4. Billing and payment
- Subscriptions are monthly or annual, paid in advance. Prices are in Saudi riyals and exclude VAT; VAT is added as required by law when due.
- Payment methods: card payment inside the platform through a payment provider licensed by the Saudi Central Bank (mada, Visa/Mastercard and Apple Pay as available), or bank transfer to the account shown on the invoice, quoting its number. Card payments activate the subscription as soon as the transaction is confirmed; bank transfers activate it once receipt is confirmed, within one business day. Card details are processed by the payment provider and never reach us.
- Automatic renewal: optional, and enabled only if you choose, when paying, to save your card for that purpose. A secure card token is then held by the payment provider and the renewal is charged three days before the period ends, after an e-mail notice and the issue of the renewal invoice. You can switch automatic renewal off or remove the card at any time from the subscription page; if a charge fails we notify you so you can pay the invoice manually, with no extra fees.
- Renewal: the renewal invoice is issued and you are reminded at least three days before the subscription ends. If the renewal is not paid within a 7-day grace period after expiry, the account switches to read-only until payment; your data is never deleted because of a late payment.
- A tax invoice / receipt is issued for every payment to the registered billing email.
- Refunds are subject to the published Refund Policy.
5. Acceptable use
You and your organisation's members must not:
- Use the Service for an unlawful purpose or upload content you have no right to process.
- Attempt to access another organisation's data or our systems without authorisation, or test their security without written permission.
- Reverse-engineer, copy, resell the Service or provide it to third parties as a service.
- Send excessive or automated request volumes that affect the stability of the Service, or circumvent plan limits.
We may suspend or restrict an account immediately in case of abuse or a security risk, notifying you where possible.
6. Your data and ownership
- The documents and data you upload remain the property of your organisation. You grant us a limited licence to process them to the extent needed to provide the Service and to improve it through aggregated, non-identifying statistics.
- You are responsible for the lawfulness of what you upload and for obtaining the necessary consents from your suppliers and their staff regarding their personal data.
- We process the personal data contained in your content on your behalf in accordance with the Privacy Policy and your reasonable, lawful instructions; we keep it confidential, apply the security safeguards described there, and notify you of any incident affecting your data.
- You can export your data at any time from inside the Service.
7. AI outputs and review responsibility
The Service relies on AI models to read documents, estimate variances and suggest decisions. These outputs are approximate by nature and may contain errors; the Service shows them with a confidence score and alerts to make review easier.
Reviewing extracted data, verifying supplier bank accounts, approving invoices and executing payments remain the sole responsibility of the Customer. We are not liable for any payment or decision made on the basis of the Service's outputs without review.
8. Intellectual property
The platform, its software, design and trademarks are the exclusive property of Digital Optimization Company (DOAI) alone. This Agreement grants you no right in them other than the right to use the Service under its terms for the duration of the subscription. We may use any suggestions or feedback you provide to improve the Service without obligation to you.
9. Confidentiality
Each party undertakes not to disclose the other party's confidential information obtained under this Agreement and not to use it beyond its purposes, except as required by law or an order of a competent authority. This obligation survives the end of the Agreement.
10. Availability and support
- We use commercially reasonable efforts to keep the Service available around the clock, with scheduled maintenance announced in advance where possible; outages beyond our control (infrastructure providers, networks, force majeure) may occur.
- Support is provided by email on working days. Service-level agreements (SLA) and priority support are available in the Enterprise plan under a separate agreement.
- We keep periodic backups at the database provider for service continuity; they do not replace your statutory records.
11. Disclaimer of warranties
The Service is provided "as is" and "as available". Except as expressly required by law, we give no warranty that the Service will be error-free or uninterrupted, that its outputs will be accurate or complete, or that it will meet particular regulatory requirements of the Customer.
12. Limitation of liability
To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, loss of profit or loss of data arising from this Agreement, and our aggregate liability for any claim shall not exceed the total amount the Customer paid us for the Service in the twelve months preceding the event. These limits do not apply to damage caused by fraud, bad faith or breach of confidentiality.
13. Indemnity
The Customer indemnifies Daqiq AI against any third-party claim arising from content uploaded by the Customer or from its use of the Service in breach of the law or this Agreement.
14. Term and termination
- The Agreement starts when the account is created and continues while the account exists.
- The Customer may cancel the subscription at any time from Settings or by writing to us; cancellation stops the next renewal and the Service stays available until the end of the paid period.
- We may terminate the Agreement or suspend the Service for a material breach not cured within 15 days of notice, or immediately in case of abuse, a security risk or a legal requirement.
- After termination or expiry the account switches to read-only; when closure is requested, data is deleted after 90 days in accordance with the Privacy Policy, and you can export it before then.
15. Changes to this Agreement
We may amend this Agreement. We notify you of material amendments by email or inside the Service at least 30 days before they take effect; the version and its date stay at the top of this page. Continuing to use the Service after the effective date means acceptance; if you do not agree you may cancel before that date.
16. Governing law and disputes
This Agreement is governed by the laws of the Kingdom of Saudi Arabia. The parties will seek to settle any dispute amicably within 30 days of one party notifying the other; failing that, the competent courts of the city of Riyadh have jurisdiction.
17. General
- The Customer may not assign this Agreement without our written consent; we may assign it to a legal successor with notice to you.
- Neither party is liable for delay or failure caused by force majeure beyond its reasonable control.
- Notices to the Customer are sent to the registered email of the organisation owner, and to us at the email below.
- If any clause is held invalid the remaining clauses stay in force. This Agreement, with the Privacy Policy and the Refund Policy, is the entire agreement between the parties.
- This Agreement is written in Arabic and English; in case of conflict the Arabic text prevails.
